Governance
General Assembly
The supreme body. It meets at least once a year and decides, among other things, on the statutes, the election of the Board, the annual report and accounts, the budget and dissolution. Amending the statutes requires a two-thirds majority.
Board
The management body of at least two members, elected for two years. It runs day-to-day business, manages the association's assets and represents it. The President is Dr. Alex Konviser.
Signing authority
Legally binding commitments require the joint signature of two authorised persons.
Conflicts of interest
Conflicts of interest must be disclosed; those concerned take no part in deliberation or decision. Transactions with Board members are made on arm's-length, transparent terms.
Remuneration and expenses
Board members serve on an honorary basis. Actual, documented expenses are reimbursed. Reasonable remuneration for special services is possible only under the remuneration regulation and without the participation of the person concerned.
Accounts
The financial year is the calendar year. The annual accounts are submitted to the General Assembly for approval.
